This also can be done from a network card. What OS do you have. You can also check your Power Management settings for wake from stand by.

Could also be a setting for wake on modem
Most pc is to tap or hold down the f10 key on reboot.

Is the card still listed in the device manager?

Yes it is called wake on lan or wol.

Have you disabled these in the bios?

no the net card is not still listed. and yes i disabled the wake on lan setting in the bios but ther was another one that said something like pvm wake or something with initials then said "wake" but i was affraid to disable that one. although disabling the wake on lan setting by itself has not solved the prob. got a call and computer booted up. can you help me please? it is the most annoying thing!!

What are you running,xp,me,98...ect? Is there a setting in the bios for wor or wake on modem? Check the control for Allow this device to bring computer out of standby witch would be your modem.

Check this: go into Start > Control Panel > Phone & Modem Options > Modems Tab > Select your modem, click on properties > Select the Power Management tab:

Make sure the box labeled "Allow this device to bring the computer out of standby" is not checked.

PME Event Wake Up is Power Management Event wakeup, which is used to wake up the system from suspend mode by pressing a key or moving a mouse. It must have interrupted the shutdown sequence by looking for certain events, mistakingly thinking that you wanted to do something else
