Actually I own a P2 300 mhz processor having Win98se installed. My vendor installed Motorola SM56 voice modem, and it works fine. But I doubt its compatibility with Yamaha audio drivers.Coz since the day it was installed the system doesn't recognize the driver Yamaha OPL3-SAx WDM Driver which worked before.Even after installing the audio drivers in the absence of modem drivers system doesn't seem to accept it.In the multimedia properties (In control Panel) it doesn't detect the audio driivers of Yamaha though they are installed but is showing 3 options in preffered devices Game compatible device
Voice modem wave #00 line
Voice modem wave #00 handset

Please help tried a lot but all in vain

Latest driver for the modem
http://www.motorola.com/softmodem/driver.htm

The last Yamaha driver released for the sound card is built into Windows.

With the modem driver uninstalled and the modem removed from the system.

Run ASD.exe and see if Windows is skipping the Yamaha sound driver due to problems.
If so check the box and close ASD.exe.
Reboot into Safe Mode and from Device Manager delete the sound card driver.

Boot back into Windows. If Hardware Wizard does not detect new hardware then still a problem. Possibly ACPI BIOS related.
If Yamaha sound card driver loads and works then install the modem with latest driver.

If your system is not ACPI compliant using WDM and or mixing WDM and VXD driver can cause problems.
VXD drive for the Yamaha sound card;

Good Luck
