so to uninstall the modem i need to go to modems under control panel and click on the modem then hit remove before i install the new drivers? cause theres nothing under add/remove to do w/ my modem,,,,,and i need to be disconnected from the internet when i do all this? and i have to uninstall the modem completely?

Yes, you'll have to disconnect, can't uninstall or remove the modem if it's in use.

If there's no uninstaller in Add/Remove Programs the remove the modem in the Control Panel, Modems. Then Check in the Device Manager to be sure that the modem has been removed. Close all programs and then click Start, Run and browse to the folder containing the modem drivers and select the setup.exe, click OK.
