I just recently downloaded Windows SP2 to my desktop. My 56K modem use to connect at around 45K, Now it's only connecting at 28.8 or 31.2

I checked the phone lines with my laptop and it connects at the 45K.

Any help is greatly appreciated.

Try installing the modem driver that was on machine before you put SP2 on.
If you do not know what driver version you had, you might need to uninstall SP2 - and even then, there's no guarantee things will get back to the state they were in before.

You could also try other modem driver versions without rolling back SP2 - but you're shooting in the dark.
Before you try anything, you should document driver version currently installed; and, before trying other drivers you should fully identify your modem (chipset/vendor, etc.)
